Copyright © 2026 EMLabs Felix Burkard, Zollbergstraße 67, 73734 Esslingen am Neckar, Germany. All rights reserved.

This End User License Agreement (“Agreement”) is a contract between you (an individual or a legal entity, “Licensee”) and EMLabs Felix Burkard, Zollbergstraße 67, 73734 Esslingen am Neckar, Germany (“Licensor”) for the TorqueForge software, including its executables, libraries, data files, documentation and updates (“Software”). By installing, copying or using the Software you accept this Agreement. If you do not accept it, do not install or use the Software.

1. Ownership

The Software is licensed, not sold. Licensor (and, for the components named in section 6, their respective owners) retains all rights, title and interest in the Software, including all copyrights and other intellectual property rights. All rights not expressly granted are reserved.

2. License grant

Subject to payment of the applicable license fee and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to install and use the Software for Licensee's own internal purposes, on the number of computers or by the number of users stated in the order confirmation or license key (“License Scope”), for the term stated there (or, if none is stated, perpetually). Licensee may make one backup copy.

Evaluation or test versions may only be used for evaluation during the stated evaluation period.

3. Restrictions

Except as expressly permitted by this Agreement or by mandatory law (in particular sections 69d and 69e of the German Copyright Act, UrhG), Licensee shall not:

  1. copy, distribute, rent, lease, lend, sell, sublicense or otherwise make the Software available to third parties, including as a hosted or network service;
  2. modify, translate, decompile, disassemble or reverse engineer the Software or create derivative works of it;
  3. remove or alter copyright notices, license keys or other protection measures;
  4. use the Software beyond the License Scope.

4. Results of the Software

The Software is an engineering tool that computes results with numerical models (finite element analysis via FEMM, analytical models and approximations). Results depend on the inputs, the models and their limits and may be inaccurate. Licensee is solely responsible for checking the plausibility of all results and for any design, manufacturing or safety decisions based on them. The Software is not intended as the sole basis for safety-critical decisions.

5. Warranty

  1. For consumers within the meaning of section 13 of the German Civil Code (BGB), the statutory warranty rights apply.
  2. For businesses, Licensor warrants that the Software substantially conforms to its documentation for 12 months from delivery. Licensor may remedy defects at its option by repair, workaround or replacement. If remedy fails, Licensee may reduce the fee or terminate the license for the defective Software. Further warranty is excluded to the extent permitted by law.

6. FEMM and other third-party components

  1. FEMM 5 (femm.info) is a separate program of David Meeker and is not licensed under this Agreement. The Software requires an installed FEMM 5 and runs it as a separate process. For convenience, the setup of the Software contains the original, unmodified FEMM installer, which the setup starts as a separate installation step; FEMM is installed and licensed to Licensee solely under its own license terms (MIT; field solvers GNU General Public License v3 or later; Qt GNU Lesser General Public License v3), shown by the FEMM installer. This Agreement does not apply to FEMM, and no fee is charged for FEMM.
  2. The Software contains further third-party components, in particular the FEMM Python interface pyfemm-qt (MIT), Qt / Qt for Python (GNU Lesser General Public License v3) and the open-source libraries listed in THIRD_PARTY_NOTICES.txt. These components are licensed to Licensee under their own licenses, whose texts are in the “licenses” folder of the installation. Nothing in this Agreement restricts the rights granted by those licenses; in particular, sections 3 a) and 3 b) do not apply to those components, and Licensee may modify and replace the LGPL libraries and reverse engineer the Software to the extent needed to debug such modifications.

7. Liability

  1. Licensor is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (ProdHaftG) and to the extent Licensor has given a guarantee.
  2. For slight negligence, Licensor is liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of this Agreement possible and on whose compliance Licensee regularly relies), and limited to the damage typical and foreseeable at the time of conclusion of the contract.
  3. Any further liability is excluded. Licensee is responsible for regular data backups; for loss of data Licensor is liable only for the effort of restoring it from such backups.

8. Term and termination

This license applies for the term stated under section 2. Licensor may terminate it for good cause, in particular if Licensee materially breaches this Agreement. On termination Licensee shall stop using the Software and delete all copies.

9. Export control

Licensee shall comply with all applicable export control and sanctions laws when using or transferring the Software.

10. Final provisions

  1. This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law does not deprive them of the protection of the mandatory provisions of the law of their country of habitual residence.
  2. If Licensee is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Esslingen am Neckar.
  3. Should any provision of this Agreement be invalid, the validity of the remaining provisions remains unaffected.
